These Website Project Terms & Service Agreement ("Agreement") govern website-focused projects provided by A&E Venture LLC, including the Custom Website Package, website redesign, landing-page design, and other approved website design and development work.
By engaging A&E Venture LLC for services, the client agrees to the terms outlined below.
Project Scope
Each project is based on the agreed proposal, estimate, invoice, or written scope of work.
Any services, features, pages, integrations, or revisions not specifically included in the agreed scope may require additional fees and timeline adjustments.
Client Responsibilities
To ensure timely project completion, the client agrees to provide:
- Logos
- Images
- Branding materials
- Website content
- Appropriate account access, invitations, or permissions when needed
- Feedback and approvals
- Other requested materials
in a timely manner.
Project timelines may be delayed if required materials are not provided.
Clients should use proper platform permissions or an approved secure method for access and should not send passwords through ordinary email or forms unless specifically instructed through an approved secure process.
Website Content
Unless otherwise agreed in writing:
- Client is responsible for supplying website content.
- A&E Venture LLC may assist with content creation, editing, or AI-assisted content generation when included in the project scope.
- Client is responsible for reviewing and approving all content, including factual accuracy, before publication.
Revisions
Each project includes a reasonable number of revisions based on the agreed scope of work.
Minor revisions may include:
- Text updates
- Image replacements
- Layout adjustments
- Styling refinements
Major revisions may include:
- Page redesigns
- Structural changes
- New functionality
- Additional pages
Major revisions may require additional fees and timeline adjustments.
Any revisions requested after final project approval and website launch may be billed separately unless covered under an applicable Website Growth Partnership agreement.
Project Timeline
Estimated completion dates are based on:
- Timely communication
- Client feedback
- Delivery of required materials
- Third-party platform availability
Delays caused by the client may result in timeline extensions.
Communication & Approvals
Client approvals provided through email, text message, project management software, or other written communication may be considered final approval for project milestones.
Website Launch
Prior to launch:
- Client will have the opportunity to review the website.
- Client is responsible for reviewing content accuracy.
- Client approval indicates acceptance of the website as delivered.
After launch, additional changes may be billed separately unless covered by an applicable Website Growth Partnership agreement.
Website Growth Partnership is optional after launch for eligible current A&E Venture website clients and provides ongoing support within its agreed scope.
Hosting & Third-Party Services
Third-party fees are the client's responsibility unless explicitly included in the approved written scope.
Examples may include:
- Hosting and platform subscriptions
- Domain registration and renewals
- Email services
- Platform credits when applicable
- Scheduling tools
- Analytics and tracking tools
- Premium plugins and software
- Third-party integrations
- Payment or ecommerce providers where applicable
Search Engine Optimization
A&E Venture LLC follows SEO best practices where applicable.
However, no guarantees are made regarding:
- Search rankings
- Traffic volume
- Lead generation
- Revenue growth
- Keyword performance
Search engine results depend on many factors beyond our control.
Ownership
Upon full payment, final client approval, and launch:
- Ownership of the completed client-specific website design and content created specifically for the project transfers to the client according to the established A&E Venture process, unless otherwise stated in writing.
- A&E Venture LLC retains ownership of proprietary systems, frameworks, templates, processes, and reusable development assets.
Portfolio Rights
Unless otherwise agreed in writing, A&E Venture LLC reserves the right to display completed projects in:
- Portfolio materials
- Website galleries
- Marketing materials
- Social media content
for promotional purposes.
Ongoing Support
Website projects include support through the completion and launch of the agreed scope of work.
Ongoing website updates, content changes, enhancements, and support are not included unless specifically outlined in a Website Growth Partnership agreement.
Eligible current A&E Venture website clients may choose the optional Website Growth Partnership after launch. Major redesigns, significant new functionality, extensive new page builds, large-scale content projects, and substantial out-of-scope work require a separate project or proposal.
Limitation of Liability
A&E Venture LLC shall not be liable for:
- Lost profits
- Lost business opportunities
- Data loss
- Third-party platform failures
- Hosting outages
- Search engine changes
- Security incidents outside our control
Liability shall be limited to the amount paid for services rendered.
Payments, Financing & Refunds
Payment obligations are governed by the approved purchase, invoice, proposal, or financing arrangement. Third-party payment or financing options are subject to the provider's own approval, fees, interest, and terms.
A&E Venture LLC's Refund & Cancellation Policy applies to website projects. Once website-project work begins, payments are non-refundable under that policy.
Termination
Either party may terminate a project with written notice.
The client remains responsible for payment for all work completed up to the termination date.
Any unpaid balances become immediately due.
Acceptance
By purchasing services, submitting payment, signing a proposal, or engaging A&E Venture LLC for services, the client acknowledges and agrees to these terms.
